Is this a good trade for me? will it be a team upgrade or hurt my team?

Well, you are downgrading in the TE department and trading a great WR for a great RB. Its not to bad though considering your other WR's are good to. I think you have good enough RB's to not have to give up Steve Smith for Willie Parker. Depending on on how many Wr's and RB's you're starting in your league it isnt worth it. My final verdict: it isnt worth it unless he gives you a WR and you give him a RB to even it out. (I would love to have your team on my Fantasy League).
